Phantom Digital Services - Terms and Conditions

This Music Distribution Agreement ("Agreement") is a legally binding contract entered into by and between Phantom Digital Services ("PHD Services", "we", "us", or "our"), and you, the artist, label, or rights holder ("Artist", "you", or "your") who submits music content through our platform.

1. Agreement Overview

By using the PHD Services platform to submit and distribute your music, you agree to be bound by the terms of this Agreement. This Agreement governs your use of our distribution services and your relationship with PHD Services.

2. Grant of Rights

You hereby grant PHD Services a non-exclusive, worldwide, royalty-bearing license to:

• Distribute your submitted musical content (including recordings, artwork, and metadata) to digital streaming platforms and online stores.
• Collect and distribute royalties on your behalf.
• Use your music, name, likeness, and related materials for marketing and promotional purposes in connection with the distribution of your content.
• Make format or encoding modifications as required for technical distribution (e.g., file conversions, metadata formatting).

This license remains effective until terminated in accordance with Section 7 and shall survive for the period necessary to complete content takedown procedures on third-party platforms.

3. Artist Representations, Warranties, and Indemnity

You represent and warrant that:

• You own or control all necessary rights in the submitted content, including any samples or third-party materials.
• The content does not infringe upon any intellectual property, privacy, or publicity rights of any third party.
• All information provided to PHD Services is accurate, complete, and current.
• You have full authority to enter into and comply with the terms of this Agreement.

Indemnity: You agree to indemnify, defend, and hold harmless PHD Services, its affiliates, officers, and employees from any and all third-party claims, damages, or losses (including legal fees) arising out of or related to a breach of these warranties or your content.

4. Revenue Sharing

PHD Services shall collect revenue from digital platforms and remit 85% of net revenues to you. PHD Services retains a 15% commission.

Net revenues refer to amounts actually received by PHD Services from digital platforms, after deduction of transaction fees, platform commissions, withholding taxes, chargebacks, or other applicable deductions.

Royalties will be paid on a monthly basis, subject to a minimum payout threshold, and only after funds have been received and cleared by the respective platforms.

5. Content Standards

You agree that all submitted content must:

• Meet the technical quality standards required by digital platforms.
• Not contain illegal, defamatory, pornographic, or otherwise offensive material.
• Comply with the content guidelines of each third-party platform.
• Include accurate and up-to-date metadata, artwork, and credits.

PHD Services reserves the right to reject or remove content that violates these standards, at its sole discretion, without prior notice.

6. Our Responsibilities

PHD Services will:

• Distribute your content to supported digital streaming and retail platforms.
• Collect and report royalties from third-party platforms accurately.
• Provide you with access to performance metrics and analytics.
• Maintain the security and integrity of your content and data.

Disclaimer: We do not guarantee platform placement, promotion, or feature visibility. PHD Services is not liable for platform policies, changes, or technical issues beyond our control.

7. Termination

This Agreement may be terminated:

• By either party, for any reason, with 30 days' written notice.
• Immediately, by PHD Services, if you breach any term of this Agreement.

Upon termination:

• Your content will be removed from platforms within 60 days, subject to platform-specific takedown timelines.
• Any royalties accrued up to the termination date will be paid on the next scheduled payout cycle.
• Access to analytics and platform data may be discontinued.

8. Limitation of Liability

To the fullest extent permitted by law:

• PHD Services' liability shall not exceed the total royalties paid to you in the 12 months prior to the claim.
• We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of revenue, data, or reputation.
• We are not responsible for third-party platform failures, outages, or changes.

9. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in Lagos, Nigeria, conducted in English, in accordance with the rules of the Lagos Court of Arbitration.

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.
